2. Payment Structure
Creative and Branding Packages (50/50 Payment Policy): For creative and branding services, clients are required to pay 50% of the project cost upfront before any work begins. The remaining 50% will be automatically charged to the card on file upon project completion.
Production Packages (100% Payment Upfront): For production services, payment must be made in full upfront before the project begins. This ensures all aspects of the production process are covered from the start.
Non-Cancellation Policy: Once a project is paid for, it cannot be canceled. Due to the immediate commencement of work upon payment, any request for cancellation will result in the withholding of the initial payment.
3. Proprietary Rights and Confidentiality
Proprietary Ideas: All ideas, concepts, and creative work presented to the client are proprietary and created exclusively for the client. Ownership of these materials remains with Zags until the project is fully paid. Upon full payment, the rights to the final deliverables transfer to the client, as outlined in the agreement. We do not disclose any information about these projects to third parties.
Non-Disclosure Agreements (NDAs): We are open to signing NDA documents to protect the confidentiality of the client's information. However, the NDA must be signed only after the initial payment has been made.
Intellectual Property: All intellectual property rights in the creative concepts, designs, and materials produced by Zags remain the property of Zags until full payment has been made. Upon full payment, intellectual property rights may transfer to the client as per the agreement.
4. Project Deliverables and Client Responsibilities
Proposals Based on Guidelines: All proposals and creative work are either based on the client's existing brand guidelines, strategy, and tone, or as proposed by us. These proposals are not intended to be produced as-is; client authorization is required before production. We are not responsible for the quality of the production if it is not managed by us.
Revisions and Feedback: Each package includes a limited number of revision rounds. We will make every effort to meet the client's needs within these rounds. However, creative services often require clear and precise guidance from the client. Ineffective rounds due to unclear instructions will count toward the total revision rounds. We recommend that clients take their time filling out the brief document to avoid such issues. We offer guidance on completing the brief at no extra cost, but once the brief is finalized, the first revision round begins.
Delivery Timeline: While we strive to accommodate delivery within 7 business days, timelines are project-specific and depend on the complexity of the work. Timelines for brand building packages typically range around 7 business days per revision.
Client Content Responsibility: Clients are responsible for ensuring that any content or instructions provided do not infringe on third-party rights or violate applicable laws. Zags is not liable for any claims or damages arising from such content.
5. Compliance and Disclaimers
Compliance with Laws: We will ensure that all creative work complies with relevant laws and industry standards. However, clients must ensure that their instructions and any content provided for the project do not infringe on third-party rights or violate applicable laws.
Non-Solicitation: Until the job is finished and fully paid, clients are not authorized to upload, publicly share, or otherwise distribute the work.
6. Limitations of Service
Exclusions: Zags will not develop spec work or any work intended solely to win awards.
Right to Refuse Service: We reserve the right to refuse service to any client at our sole discretion. If we decide not to move forward with a project, any payments made will be reimbursed. We do not work with industries including, but not limited to:
Vaping and Tobacco
Adult Entertainment
Multi-Level Marketing (MLM) Businesses
7. File Delivery and Retention
File Storage: All final deliverables, including decks, files, and other project-related materials, will be shared via secure links and stored in the cloud for six months. After this period, the documents will be removed from our servers.
8. Production Services
Production Authorization and Budget Alignment: The production services offered by Zags are designed to ensure that the creative vision and client goals are effectively achieved. However, it is important to note that the final production may not exactly match the initial creative proposals, as all productions are subject to the constraints of the client's production budget. Clients must disclose their production budget in the brief so that the ideas we develop are aligned with financial feasibility. Once in the production phase, ideas may require adjustments due to factors beyond our control, such as vendor limitations, material availability, or other unforeseen circumstances.
Role of Production Services: Our production services involve finding and coordinating with vendors who specialize in executing various aspects of the project. While we oversee the development of the ideas and ensure they are executed according to plan, we do not directly produce the work ourselves. Instead, we subcontract to experts in each field to carry out the production. The package prices cover the production service itself and do not include additional expenses such as travel, lodging, or other logistical costs.
Client Authorization and Vendor Payments: Once the production phase begins, client authorization is required to proceed with selected vendors. The client is responsible for paying these vendors directly. If the client prefers Zags to handle the distribution of payments, we will charge a 15% commission fee on the total project cost for this service.
Additional Terms: Zags is not liable for delays or quality issues that arise from external vendors.
All production-related decisions made by Zags are based on ensuring the highest quality within the constraints of the provided budget and project scope.
Travel, lodging, and other expenses incurred by the production team or vendors are not included in the package prices and will be billed separately.
Any changes to the production budget or scope after the project has commenced may require additional fees and a revised timeline.
9. Force Majeure
Zags shall not be liable for any failure or delay in the performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, strikes, natural disasters, pandemics, or governmental regulations. In such cases, Zags will make reasonable efforts to resume services as soon as possible.
10. Limitation of Liability
Zags' liability to the client for any claim arising out of or in connection with these Terms shall be limited to the amount paid by the client under the agreement. Zags shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits or revenue.
11. Dispute Resolution
The parties agree that any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be resolved through good-faith negotiations. If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) in accordance with its rules, before resorting to litigation. The parties agree to waive their rights to pursue litigation in court except as may be necessary to enforce an arbitration award.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States of America and the State of Florida, without regard to its conflict of law principles.
13. Final Provisions
Entire Agreement: These Terms constitute the entire agreement between Zags and the client. No other agreements, representations, or understandings shall be binding unless documented in writing and signed by both parties.
Amendments: We reserve the right to update these Terms at any time. Clients will be notified of any significant changes.

Payment Provider: All payments for Zags services are processed securely through Stripe. By using our services and providing payment information, clients agree to comply with Stripe’s Terms of Service and Privacy Policy.
Payment Information: Clients are responsible for providing accurate and up-to-date payment information. Zags does not store credit card information; all payment details are securely managed by Stripe.
Automatic Charges: As outlined in Section 2, the remaining 50% of the project fee will be automatically charged to the card on file upon completion of the final revision for each package.
Disputes and Chargebacks: Any disputes regarding payments should be raised with Zags in the first instance. Clients acknowledge that initiating a chargeback with their bank or credit card provider without first attempting to resolve the issue with Zags may constitute a breach of these Terms.
Refunds: All payments are non-refundable as outlined in Section 2, unless otherwise stated in these Terms. Any refunds issued will be processed back to the original payment method used.

Refunds: All payments are non-refundable as outlined in Section 2, unless otherwise stated in these Terms. Any refunds issued will be processed back to the original payment method used.
